1. Purpose

These General Terms and Conditions of Sale define the terms under which Deelt Consulting provides consulting services to its clients.

Any order implies unconditional acceptance of these terms.

2. Services

Deelt Consulting offers consulting services, strategic support, and IT management.

The specific characteristics of the services are defined in the commercial proposals, quotes, or contracts concluded with clients.

3. Order

All services are subject to a quote or a written agreement between the parties.

The order is considered accepted upon validation of the quote by the client.

4. Pricing

The prices of the services are indicated in euros.

Unless otherwise stated, they are expressed excluding taxes or including taxes depending on the applicable status.

Deelt Consulting reserves the right to modify its prices at any time. Services are invoiced according to the terms accepted at the time of the order.

5. Payment Terms

Payment is made according to the terms indicated on the invoice or quote.

Unless otherwise stated, invoices are payable within 30 days from the date of issuance.

6. Late Payment

Any late payment may result in the application of late payment penalties calculated in accordance with the applicable legal rate.

A fixed compensation of €40 for recovery costs may also be required.

7. Liability

Deelt Consulting is bound by an obligation of means in the performance of its services.

Deelt Consulting shall not be held liable for indirect damages, loss of business, or financial losses resulting from the use of the services provided.

8. Confidentiality

Information exchanged within the framework of the services is considered confidential and may not be disclosed to third parties without prior consent of the parties.

9. Intellectual Property

Unless otherwise stated in the contract or quote, deliverables produced within the scope of the services remain the property of Deelt Consulting until full payment has been made.

10. Termination

Either party may terminate the services in the event of a serious breach by the other party of its contractual obligations, after formal notice has remained without effect.

11. Applicable Law and Disputes

These General Terms and Conditions of Sale are governed by French law.

In the event of a dispute, the parties will seek an amicable solution before any legal action. Failing this, the French courts shall have exclusive jurisdiction.
